1. Introduction

These Terms and Conditions (the “Terms”) constitute a legally binding agreement between Never-Land Food (the “Company”, “we”, “our”, or “us”) and any individual or entity purchasing products or using our services (the “Customer”, “you”, or “your”).

By accessing our website, placing an order, or purchasing products from us, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use our services or purchase our products.

2. Definitions

  • “Products”: Fresh, frozen, and processed meat and food items supplied by Never-Land Food.

  • “Services”: Delivery, logistics, and any other related business support provided by the Company.

  • “Order”: Any confirmed request for the purchase of Products placed by a Customer through our authorized sales channels.

3. Eligibility

By placing an Order, you represent and warrant that:
a. You are at least 18 years of age;
b. You have the legal capacity and authority to enter into this Agreement;
c. If acting on behalf of a business, you are authorized to bind that entity.

4. Orders and Payment

4.1 Ordering – Orders may be placed through our official sales channels, including physical stores, telephone, email, or online platforms.
4.2 Pricing – All prices are quoted in Philippine Peso (₱) unless otherwise stated. Prices are subject to change without prior notice.
4.3 Payment Terms

  • Accepted payment methods include cash, bank transfer, or other methods approved by the Company.

  • Payment must be made in full before or upon delivery, unless a written credit arrangement has been agreed upon.

  • For credit accounts, invoices must be settled within the agreed payment period. Late payments may incur penalties or suspension of services.

5. Product Quality and Handling

5.1 The Company guarantees that all Products are handled, stored, and transported in accordance with applicable food safety standards.
5.2 Upon delivery, responsibility for the proper handling, preparation, and storage of Products transfers to the Customer.
5.3 The Company shall not be held liable for deterioration or spoilage resulting from the Customer’s failure to follow proper food handling and storage practices.

6. Delivery and Risk of Loss

6.1 Delivery schedules will be communicated in advance and are subject to availability.
6.2 Risk of loss, damage, or spoilage passes to the Customer upon delivery of Products to the specified delivery address or upon pickup.
6.3 The Company shall not be liable for delays caused by circumstances beyond its control, including but not limited to traffic, weather conditions, accidents, or force majeure events.

7. Returns and Refunds

7.1 Due to the perishable nature of our Products, returns are only accepted if:

  • Products are damaged, spoiled, or incorrect upon delivery; and

  • The issue is reported within 24 hours of delivery.
    7.2 The Company reserves the right to inspect and verify all claims before issuing a refund or replacement.
    7.3 Products that have been opened, used, or improperly stored by the Customer are not eligible for return or refund.

8. Food Safety and Customer Responsibility

8.1 The Company complies with all relevant food safety laws and regulations.
8.2 The Customer is solely responsible for ensuring that Products are properly prepared, cooked, and consumed after delivery.
8.3 The Company shall not be held liable for any illness, injury, or damages resulting from the Customer’s mishandling, improper storage, or unsafe preparation of Products.

9. Intellectual Property

All trademarks, trade names, logos, marketing materials, website content, and other intellectual property owned by Never-Land Food are protected under applicable laws. Customers may not reproduce, distribute, or use such intellectual property without prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law:
a. The Company shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, arising from the use or misuse of our Products or Services.
b. The Company’s total liability for any claim shall not exceed the total purchase price of the Products giving rise to the claim.

11. Indemnification

The Customer agrees to indemnify, defend, and hold harmless Never-Land Food, its officers, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to:
a. The Customer’s breach of these Terms;
b. Improper handling, storage, or preparation of Products by the Customer;
c. The Customer’s violation of applicable laws or regulations.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of [Insert City], Philippines.

13. Amendments

The Company reserves the right to amend or update these Terms at any time without prior notice. The updated Terms will take effect immediately upon publication on the Company’s website or communication to Customers.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms constitute the entire agreement between the Company and the Customer with respect to the subject matter herein and supersede all prior agreements, understandings, or communications, whether written or oral.
